DJO Global's early tender results in for exchange offer and consent solicitation — 6 things to know

DJO Global reported early tender results for their exchange offer and consent solicitation with respect to senior subordinated notes.

Here are five key notes about the results:

 

1. There was $298.4 million aggregate principal in outstanding old notes, which represents around 99.4 percent of the outstanding Old Notes.

 

2. The holders also delivered their consent to the proposed amendments for the Old Notes tendered and the issuers received the requisite number of consents to adopt the proposed amendments.

 

3. Those with old notes tendered in the exchange offer that delivered consents prior to the early tender deadline will receive $1,000 principal amount of new notes and $20 in cash for each $1,000 principal amount of old notes tendered plus accrued and unpaid interest in cash.

 

4. The exchange offer expires at Midnight EST on May 13, 2015 unless it's further extended.

 

5. Holders that tender old notes after the early tender deadline but before expiration will receive $1,000 principal amount of new notes and $10 in cash for each $1,000 principal amount of old notes tendered.

 

6. The new notes are issued by issuers and guaranteed by all DJOFL's existing and future domestic subsidiaries.
