MiMedx to acquire Sanara MedTech in $350M deal

MiMedx Group entered into a definitive agreement to acquire Sanara MedTech in a cash-and-stock transaction with a total enterprise value of approximately $350 million.

Under the agreement, Sanara shareholders will receive $33 in cash and 0.4735 shares of MiMedx common stock for each Sanara share, representing total consideration of $35 per share, according to a July 30 news release from MiMedx.

The stock portion was valued at $2 per share based on MiMedx’s average closing share price of $4.22 over the five consecutive trading days through July 28, 2026. The consideration represents a 46% increase to Sanara’s 30-day average share price as of July 28.

Sanara develops regenerative products for surgical markets and is preparing for a 2027 commercial launch of its OsStic BioAdhesive Advanced Bone Fixation, which has FDA Breakthrough Device designation. Joseph Capper, CEO of MiMedx, said in the release the acquisition is expected to expand the company’s surgical portfolio, with combined 2027 revenue projected to exceed $400 million.

The transaction is expected to close by the end of the year, pending Sanara shareholder approval and regulatory approval, the release said.
