Smith & Nephew makes 2nd acquisition in 2 days: 6 key points

Smith & Nephew acquired Brainlab's orthopedic joint reconstruction business.

Six things to know:

1. Brainlab's orthopedic joint reconstruction technology includes digital workflow tools to help surgeons during preoperative planning, intraoperative navigation and postoperative evaluation and information sharing. The technology is used in around 40,000 cases per year.

2. Smith & Nephew also purchased intangible assets in addition to the Brainlab sales force, which it will integrate into the robotics commercial organization and support business acceleration. Brainlab's orthopedic joint reconstruction business has more than 500 accounts worldwide.

3. Both companies plan to collaborate in developing applications for orthopedic reconstruction and sports medicine. There are opportunities to expand into other surgical specialties in the future as well.

4. Through the partnership, Smith & Nephew will have access to Brainlab's cloud computing, tracking, augmented reality, robotics, artificial intelligence and machine learning capabilities.

5. Under the agreement, Brainlab will be able to deploy digital surgery products to the ambulatory surgery market through Smith & Nephew's distribution network.

"The partnership with Brainlab is a critical driver of our digital surgery and robotic ecosystem," said Smith & Nephew CEO Namal Nawana. "Together we will drive the development and adoption of digital technologies to dramatically improve efficiency and outcomes in the OR."

6. This is Smith & Nephew's second acquisition in two days; the company acquired Osiris Therapeutics, a company focused on bone graft and articular cartilage substitute products, for $660 million yesterday.
