Medtronic begins exchange offers for senior notes — 7 areas to know

Medtronic commenced exchange offers for certain senior notes.

The company is commencing exchange offers with respect to:

 

1. Up to $500 million aggregate principal amount of outstanding Floating Rate Senior Notes due March 15, 2020 issued by Medtronic, with the full and unconditional guarantees of such notes by the company and Medtronic Global Holdings for a like principal amount of Floating Rate Senior Notes due March 15, 2020 issued by Medtronic and guaranteed by the guarantors, which have been registered under the Securities.

 

2. Up to $1 billion aggregate principal amount of outstanding 1.5 percent Senior Notes due March 15, 2018 issued by Medtronic together with the subsequent full and unconditional guarantees of such notes by the guarantors for a like principal amount of 1.5 percent Senior Notes due March 15, 2018, issued by Medtronic and guaranteed by the guarantors, which have been registered under the Securities Act.

 

3. Up to $2.5 billion aggregate principal amount of outstanding 2.5 percent Senior Notes due March 15, 2020, issued by Medtronic together with the subsequent full and unconditional guarantees of such notes by the guarantors for a like principal amount of 2.5 percent Senior Notes due March 15, 2020, issued by Medtronic and guaranteed by the guarantors, which have been registered under the Securities Act.

 

4. Up to $2.5 billion aggregate principal amount of outstanding 3.15 percent Senior Notes due March 15, 2022 issued by Medtronic together with he subsequent full and unconditional guarantees of such notes by the guarantors for a like principal amount of 3.15 percent Senior Notes due March 15, 2022 issued by Medtronic and guaranteed by the guarantors, which have been registered under the Securities Act.

 

5. Up to $4 billion aggregate principal amount of outstanding 3.5 percent Senior Notes due March 15, 2025 issued by Medtronic together with the subsequent full and unconditional guarantees of such notes by the guarantors for a like principal amount of 3.5 percent Senior Notes due March 15, 2025, issued by Medtronic and guaranteed by guarantors, which have been registered under the Securities Act.

 

6. Up to $2.5 billion aggregate principal amount of outstanding 4.375 percent Senior Notes due March 15, 2023 issued by Medtronic together with the subsequent full and unconditional guarantees of such notes by the guarantors for a like principal amount of 4.375 percent Senior Notes due march 15, 2035, issued by Medtronic and guaranteed by the guarantors, which have been registered under the Securities.

 

7. Up to $4 billion aggregate principal amount of outstanding 4.625 percent Senior Notes due March 15, 2045 issued by Medtronic together with the subsequent full and unconditional guarantees of such notes by the guarantors for a like principal amount of 4.625 percent Senior Notes due March 15, 2045, issued by Medtronic and guaranteed by the guarantors, which have been registered under the Securities Act.
